1. Agreement to These Terms
These Terms of Service ("Terms") are a binding agreement between you and Liquid Nutrition LLC, doing business as Liquid Theory ("Liquid Theory," "we," "us"). By using getliquidtheory.com or any related site we operate (the "Site"), or by purchasing our products, you agree to these Terms and to our Privacy Policy, Refund Policy, and Shipping Policy, which are incorporated by reference. If you do not agree, do not use the Site.
2. Eligibility
You must be at least 18 years old to purchase from the Site. By ordering, you represent that you are 18 or older and legally capable of entering into this agreement.
3. Our Products Are Not Medical Advice
Liquid Theory products are dietary supplements. Statements on this Site have not been evaluated by the Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease. Content on the Site, including descriptions of published research, is provided for informational purposes only and is not medical advice, and it is not a substitute for advice from your physician. Consult a healthcare professional before use if you are pregnant, nursing, taking medication, or managing a medical condition, and before beginning any supplement regimen.
4. Orders, Pricing, and Payment
All prices are in U.S. dollars and exclude taxes and any shipping charges shown at checkout. We may refuse, limit, or cancel any order, including orders that appear fraudulent, are placed by resellers, or result from a pricing or listing error; if we cancel after payment, we will refund the amount charged. Promotional codes are subject to the terms stated with the specific promotion and may be modified or discontinued at any time. You represent that you are authorized to use the payment method you provide.
5. Subscriptions and Auto-Renewal
By purchasing a subscription, you authorize us and our subscription-billing partner to charge your payment method on a recurring basis at the price and delivery frequency shown at checkout, until you cancel. Each renewal ships automatically. You can change, skip, pause, or cancel your subscription at any time through your account page or by emailing hello@getliquidtheory.com; changes take effect for any renewal not yet processed. Cancelling stops future charges and does not affect orders already billed or shipped (our Refund Policy still applies to those). If the price of your subscription will increase, we will notify you in advance and give you the opportunity to cancel first.
6. 90-Day Money-Back Guarantee
Our 90-day money-back guarantee is described in our Refund Policy, which governs all refund requests.
7. Shipping
Shipping timelines, methods, and costs are described in our Shipping Policy. Title and risk of loss pass to you upon our delivery of the products to the carrier, but we will work with you in good faith to resolve lost or damaged shipments as described in the Refund Policy.
8. Intellectual Property
The Site and everything on it — trademarks, logos, text, graphics, photos, video, and code — are owned by or licensed to Liquid Nutrition LLC and protected by law. We grant you a limited, revocable, non-exclusive license to use the Site for personal shopping purposes. You may not copy, scrape, republish, or commercially exploit Site content without our written permission.
9. Reviews and Submitted Content
If you submit reviews, photos, videos, comments, or other content to us or tag us on social media, you grant Liquid Nutrition LLC a worldwide, royalty-free, perpetual, sublicensable license to use, reproduce, edit, and display that content in connection with our business, including on the Site and in marketing. You represent that your submissions are your own, are truthful, reflect your genuine experience, and disclose any material connection you have with us (for example, if you received free product or compensation).
10. Prohibited Uses
You agree not to misuse the Site: no unlawful activity, no infringing or harmful content, no interference with the Site's operation or security, no automated scraping or data harvesting, no misrepresentation of your identity, and no purchase of products for unauthorized resale.
11. Third-Party Links and Services
The Site may link to third-party sites and studies (for example, research on PubMed) and uses third-party services such as payment processors and subscription management. We are not responsible for third-party content, policies, or practices.
12. Disclaimer of Warranties
THE SITE AND OUR PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY PARTICULAR RESULT WILL BE ACHIEVED FROM USE OF OUR PRODUCTS; INDIVIDUAL RESULTS VARY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, LIQUID NUTRITION LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR PRODUCTS IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100. THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW.
14. Indemnification
You agree to indemnify and hold harmless Liquid Nutrition LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or misuse of the Site.
15. Disputes: Informal Resolution First, Then Arbitration
Please read this section carefully — it affects your legal rights.
(a) Talk to us first. Before filing any claim, you agree to email hello@getliquidtheory.com with a written description of the dispute and give us 30 days to resolve it informally. Most issues are resolved this way, often under our 90-day guarantee.
(b) Binding individual arbitration. Any dispute not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. The arbitration will be conducted by a single arbitrator, in English, and may proceed by videoconference or written submissions. Judgment on the award may be entered in any court of competent jurisdiction.
(c) Class-action waiver. Disputes will be arbitrated only on an individual basis. Neither you nor we may participate in a class action, class arbitration, or representative proceeding.
(d) Your right to opt out. You may opt out of this arbitration agreement by emailing hello@getliquidtheory.com with the subject line "Arbitration Opt-Out," your name, and your order number within 30 days of your first purchase. Opting out does not affect any other part of these Terms.
(e) Exceptions. Nothing in this section prevents either party from seeking injunctive relief for intellectual-property infringement or unauthorized access to the Site.
16. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 15. If you are a consumer, you retain any non-waivable rights granted by the laws of your state of residence.
17. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above reflects the current version, and material changes will be posted on the Site. Continued use of the Site after changes take effect constitutes acceptance. Changes to Section 15 will not apply to disputes that arose before the change.
18. Miscellaneous
If any provision of these Terms is found unenforceable, the remainder stays in effect (and an unenforceable class-waiver renders Section 15(b)–(c) void rather than reformed). These Terms, together with the policies incorporated by reference, are the entire agreement between you and us regarding the Site. Our failure to enforce a provision is not a waiver.
